Welcome to BlueMont Aegis, the comprehensive, unified cybersecurity platform and fully managed service operated by BlueMont Technologies Ltd (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to, use of, and relationship with the BlueMont Aegis platform and related services. By accessing or using BlueMont Aegis, you agree to be legally bound by these Terms, including all accompanying policies referenced or incorporated herein. If you do not agree with these Terms, you must immediately cease use of all BlueMont Aegis services.


1. DEFINITIONS

  • Account: Your unique user profile and associated access permissions granted upon successful registration.

  • Customer Data: Any and all data, content, documents, logs, telemetry, configurations, credentials, and information you or your Users upload, store, transmit, or otherwise process using the Service.

  • Service: The BlueMont Aegis cybersecurity ecosystem including, but not limited to, the web interface, cloud-based software, proprietary tools, APIs, threat intelligence, machine learning modules, and expert-managed security services.

  • Users: Individuals who are authorised under your Account to access and use the Service.

  • Subscription: The contracted service tier and scope of access defined in your service agreement.


2. ELIGIBILITY & ACCEPTANCE

2.1 You must be at least 18 years of age and possess the legal authority and capacity to enter into binding agreements under applicable law.

2.2 If you are accessing or using the Service on behalf of a company, government entity, or other legal body, you represent and warrant that you are fully authorised to bind that entity to these Terms.

2.3 Continued use of the BlueMont Aegis platform following any amendment or update to these Terms will constitute your express acceptance of the revised Terms.

2.4 You acknowledge that your access may be restricted or revoked at our discretion for noncompliance or misuse.


3. ACCOUNT REGISTRATION & MANAGEMENT

3.1 Account Creation: Registration requires you to provide accurate, current, and complete information including identity verification and business credentials. Accounts created with false or misleading information may be suspended without notice.

3.2 User Permissions: You are responsible for assigning roles and privileges appropriately. Any misuse or unauthorised activity carried out by Users under your Account is your responsibility.

3.3 Credential Management: You agree to maintain the confidentiality of all login credentials and account details. You must immediately notify us of any unauthorised use, breach, or suspected compromise.

3.4 Modifications: You may update billing, user permissions, or organisation details through the Admin Console or by contacting our support team.

3.5 Audit Access: We reserve the right to audit accounts to verify compliance with these Terms.


4. SERVICE SCOPE & USAGE

4.1 Core Functionality: BlueMont Aegis includes—but is not limited to—AI-driven Extended Detection and Response (XDR), continuous threat hunting, behavioral analytics, Security Orchestration and Automated Response (SOAR), penetration testing, vulnerability assessment, phishing simulation, Zero Trust enforcement, Secure Access Service Edge (SASE), endpoint protection, identity monitoring, and cloud workload protection.

4.2 Availability Goals: We strive to deliver 99.9% uptime for core services, excluding scheduled maintenance windows, upgrades, or unplanned outages due to Force Majeure events or third-party failure.

4.3 Resource Limitations: Each subscription tier outlines specific resource entitlements such as data ingestion volume, endpoint counts, alerting thresholds, and service hours. Use beyond defined thresholds may result in temporary throttling or overage charges.

4.4 Operational Transparency: You will receive dashboards, threat reports, and system telemetry based on your chosen plan level.

4.5 Platform Updates: The platform evolves continuously. Features, capabilities, and APIs may be added, modified, or deprecated over time with or without notice.


5. ACCEPTABLE USE & PROHIBITED ACTIVITIES

5.1 Permitted Use: You may use the BlueMont Aegis platform solely for internal cybersecurity protection, risk reduction, compliance, and resilience building.

5.2 Restricted Conduct: The following activities are strictly prohibited:

  • Reverse engineering, decompiling, or attempting to extract underlying source code or architecture.

  • Introducing malware, viruses, trojans, or other harmful components.

  • Attempting to breach, bypass, or circumvent security controls.

  • Using the Service in a manner that violates applicable laws, export controls, or third-party rights.

  • Harvesting, scraping, or extracting data from systems that do not belong to you.

  • Impersonating any person or misrepresenting your affiliation.

  • Conducting unauthorised vulnerability scans or testing outside of the agreed scope.


6. CUSTOMER DATA & PRIVACY

6.1 Data Ownership & Rights: All Customer Data remains your exclusive property. BlueMont Aegis processes this data only as instructed, subject to applicable data protection laws.

6.2 Data Processing Agreement (DPA): Where required by law or contractual obligation, a separate DPA will govern our handling of Customer Data.

6.3 Privacy Policy: Our Privacy Policy details what personal information we collect and how it is stored, used, and protected. You agree to our practices by using the Service.

6.4 Security Measures: We employ industry-standard technical and organisational safeguards, including encryption, access control, multi-factor authentication, and continuous monitoring to protect your data.

6.5 Retention & Deletion: Customer Data is retained throughout your active subscription and securely deleted or returned within 30 days post-termination unless legal or regulatory obligations require otherwise.

6.6 Access Requests: You are responsible for responding to subject access requests under GDPR, CCPA, or similar regulations.


7. FEES, BILLING & PAYMENT

7.1 Subscription Pricing: Pricing is based on your selected plan and contract duration. Custom agreements may apply. All fees are non-refundable unless stated otherwise.

7.2 Billing Frequency: You will be invoiced in advance on a monthly or annual basis, depending on your chosen payment schedule.

7.3 Accepted Methods: We accept payments via credit/debit card, ACH, BACS, or other methods agreed in writing. Payments must be made in the specified currency.

7.4 Late Payments: Unpaid balances may result in service suspension, interest accrual at 1.5% monthly (or the maximum allowed), and referral to collections.

7.5 Taxes: All fees exclude VAT, GST, and other applicable taxes. You are responsible for all required tax payments.

7.6 Fee Changes: We reserve the right to adjust pricing with 30 days’ prior notice via email or platform alert.

7.7 Credits & Disputes: Disputes must be raised in writing within 15 days of invoice receipt. Valid credits will be applied to the next billing cycle.


8. THIRD-PARTY INTEGRATIONS & DEPENDENCIES

8.1 Supported Integrations: BlueMont Aegis may integrate with third-party services including, but not limited to, cloud providers (AWS, Azure, GCP), identity platforms (Okta, Azure AD), SIEMs, ticketing systems, and other security tools.
8.2 Responsibility: You acknowledge and agree that use of these integrations is subject to the third party’s terms and conditions. We are not responsible for outages, data loss, or performance issues caused by third-party services.
8.3 Changes: We may add or remove integrations at any time. You will be notified of major changes via email or in-app messages.


9. BETA & PRE-RELEASE FEATURES

9.1 Access: From time to time, we may offer beta, trial or preview features (“Beta Features”).
9.2 Terms: Beta Features are provided “as is” with no warranty and may be modified, replaced, or discontinued at any time.
9.3 Feedback: By using Beta Features, you grant us a non-exclusive, perpetual, royalty-free license to use and implement any feedback or suggestions you provide.


10. INTELLECTUAL PROPERTY RIGHTS

10.1 Ownership: All intellectual property rights in the Service, including software, documentation, trademarks, logos, and trade secrets, are owned by BlueMont Technologies Ltd or its licensors.
10.2 License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business operations.
10.3 Restrictions: You shall not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of any part of the Service.


11. CONFIDENTIALITY

11.1 Definition: “Confidential Information” means any non-public information disclosed by one party to the other in connection with these Terms.
11.2 Obligations: Each party agrees to protect Confidential Information with at least the same degree of care as its own confidential information, but no less than a reasonable standard, and to use it only to fulfill its obligations.
11.3 Exclusions: Confidential Information does not include information that is publicly known, independently developed, or rightfully received from a third party without breach.


12. WARRANTIES & DISCLAIMERS

12.1 Warranties: Each party represents and warrants that it has the legal right to enter these Terms and perform its obligations.
12.2 Service Warranty: We warrant that the Service will materially conform to the documentation.
12.3 Disclaimer: EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT.


13. LIMITATION OF LIABILITY

13.1 Excluded Damages: NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13.2 Liability Cap: OUR AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

14. INDEMNIFICATION

14.1 Mutual Indemnification: Each party agrees to indemnify, defend, and hold harmless the other party, its affiliates, officers, directors, employees, and agents from and against any third-party claims, demands, actions, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) a breach of these Terms; (b) gross negligence or willful misconduct; or (c) violation of applicable laws or regulations.

14.2 Customer-Specific Indemnity Obligations: You agree to indemnify and hold BlueMont Aegis harmless for any claim arising out of or related to your (a) misuse of the Service; (b) data or content submitted by you or your users; or (c) violation of any intellectual property or privacy rights.

14.3 Procedure: The indemnified party will (i) promptly notify the indemnifying party of any claim, (ii) allow the indemnifying party to control the defense and settlement, and (iii) provide reasonable assistance at the indemnifying party’s expense. Failure to notify will not relieve the indemnifying party of its obligations unless materially prejudiced by such failure.

14.4 Limitations on Indemnification: Indemnification shall not apply to the extent a claim arises due to (a) modification of the Service not performed or authorized by BlueMont Aegis, (b) use of the Service in combination with non-approved systems or services, or (c) breach of these Terms by the indemnified party.


15. TERM & TERMINATION

15.1 Term: These Terms shall remain in effect for as long as you use the Services or maintain an active subscription, unless terminated earlier according to the provisions herein.

15.2 Termination for Cause: Either party may terminate the agreement with written notice if the other party materially breaches any term of this agreement and fails to cure such breach within 30 days of receiving notice.

15.3 Termination for Convenience: You may terminate your use of the Services at any time by providing 30 days’ prior written notice. Fees already paid are non-refundable.

15.4 Effect of Termination: Upon termination, all rights and licenses granted to you will immediately cease. You must cease all use of the Services and delete any copies in your possession.

15.5 Suspension of Service: We reserve the right to suspend or restrict your access if (a) you fail to pay any fees due, (b) your actions threaten the integrity or security of the platform, or (c) we are required to do so by law.

15.6 Data Retention & Deletion: Upon termination or expiration, Customer Data will be available for export for 15 business days. After this period, all associated data will be permanently deleted from our systems unless retention is legally required.


16. GOVERNING LAW & DISPUTE RESOLUTION

16.1 Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

16.2 Dispute Resolution: Any dispute or claim arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes will be submitted to binding arbitration in London, U.K., under the rules of the London Court of International Arbitration (LCIA).

16.3 Equitable Relief: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent unauthorized use or disclosure of confidential information.

16.4 Prevailing Party Fees: The prevailing party in any dispute or enforcement action shall be entitled to recover its reasonable legal fees and expenses.


17. GENERAL PROVISIONS

17.1 Entire Agreement: These Terms, including our Privacy Policy and any additional legal agreements expressly incorporated herein, constitute the entire agreement between you and BlueMont Aegis regarding the Services.

17.2 Assignment: You may not assign or transfer any rights or obligations under these Terms without prior written consent from BlueMont Aegis. We may assign these Terms without restriction.

17.3 No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any third party.

17.4 Notices: Notices must be in writing and delivered via email or registered post to the designated contacts. Notices will be deemed received 24 hours after email delivery or three days after postal dispatch.

17.5 Force Majeure: Neither party shall be held liable for delay or failure to perform due to causes beyond reasonable control, including natural disasters, government restrictions, cyberattacks, power outages, or labor disputes.

17.6 Relationship of the Parties: The parties are independent contractors. Nothing herein creates an agency, partnership, joint venture, or employment relationship.

17.7 Severability: If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.8 Waiver: A failure to enforce any provision shall not constitute a waiver of that provision or any other.

17.9 Export Control: You represent that you are not named on any U.K. or international government list of persons or entities prohibited from receiving exports. You will not export the Services without proper authorization.

17.10 Publicity Rights: Unless otherwise agreed in writing, you grant us permission to use your company name and logo in our marketing and promotional materials.
